You retain all ownership rights to the financial data and content you input into CloseKit ("User Data"). Your User Data remains your property at all times.
By using CloseKit, you grant us a limited, non-exclusive license to use, store, process, and display your User Data solely for the purpose of providing and improving the service. This license terminates when you delete your account or remove the data from the service.
You are solely responsible for the accuracy, quality, and legality of your User Data. You represent and warrant that you have all necessary rights to use and share the data you input into CloseKit.
CloseKit and all of its components, including but not limited to software, design, text, graphics, logos, features, and functionality, are owned by CloseKit and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use CloseKit for your internal business purposes. This license does not grant you any ownership rights to the service or any right to use our trademarks without permission.

Our total liability to you for any claims arising from your use of CloseKit shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless CloseKit, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
CloseKit offers monthly and annual subscription plans. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle until you cancel.
We accept payment via credit card or debit card. You must provide accurate and complete payment information and keep it up to date.
If you are not satisfied with CloseKit, you may request a full refund within 14 days of your initial sign-up. After 14 days, all payments are non-refundable. To request a refund, contact our support team with your account details.
Refunds are processed to the original payment method within 5-10 business days of approval.
We reserve the right to change our pricing at any time. If we increase the price of your subscription, we will provide at least 30 days' advance notice before the change takes effect. Your continued use of the service after the price change constitutes acceptance of the new price.
If a payment fails, we will attempt to process it again. If payment continues to fail, we may suspend or terminate your access to the service until payment is received.
You may terminate your account at any time by contacting us or using the account deletion feature. If you terminate a paid subscription, you will retain access until the end of your current billing period, but no refund will be provided for the remaining time (except as specified in our 14-day refund policy).
We may suspend or terminate your account immediately if:
Upon termination, your right to access CloseKit will immediately cease. When you delete your account, your User Data is permanently deleted immediately from our systems, except where we are required to retain it for legal or regulatory purposes.
You should export any data you wish to retain before terminating your account. We are not responsible for any data loss resulting from account termination.
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, we will notify you via email or through a prominent notice in the application at least 30 days before the changes take effect.
Your continued use of CloseKit after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the service and may terminate your account.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CloseKit is registered, without regard to its conflict of law provisions.
In the event of any dispute arising out of or relating to these Terms or your use of CloseKit, you agree to first contact us to seek an informal resolution. If we cannot resolve the dispute informally, both parties agree to binding arbitration or, if arbitration is not available, to the exclusive jurisdiction of the courts in our registered jurisdiction.
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CloseKit regarding your use of the service and supersede all prior agreements.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
